*Please read the agreement below and indicate your consent to the terms by clicking "I agree". I understand that by submitting any ideas, comments, suggestions, materials or other information (the "Submitted Materials") to Taro Pharmaceuticals U.S.A., Inc. ("TaroPharma"), I agree to the following: TaroPharma has no obligation to notify me of receipt of Submitted Materials or whether Submitted Materials will be used in any TaroPharma-related properties, including, without limitation, the Kusch Manual. I shall not be entitled to any compensation of any kind or nature whatsoever in connection with any Submitted Materials or the use of such Submitted Materials by TaroPharma or Stanferd L. Kusch, M.D. ("Dr. Kusch"). By sending Submitted Materials to TaroPharma, I represent, warrant and agree that (i) Submitted Materials will not be returned to me and will become the property of TaroPharma, its successors and assigns; (ii) Submitted Materials are solely my original work ; (iii) the Submitted Materials and any other work similar to the Submitted Materials have not been previously published in any form or media and will not be published elsewhere in any form or media; (iv) neither the Submitted Materials nor any part thereof nor the exercise by TaroPharma of any rights therein will violate or infringe upon the trademark, trade name, copyright, right of privacy or publicity, property rights or any other rights of any person or entity; (v) I am the sole proprietor of all rights in and to the Submitted Materials, I have full power and authority to grant the rights granted herein, and the Submitted Materials are free and clear of all liens, claims and encumbrances; (vi) I have obtained all rights, consents and permissions necessary to grant the rights granted herein, and TaroPharma shall not be obligated to obtain any consents from any third party nor to pay any sums to any third party as a result of TaroPharma's exploiting any of the rights granted to TaroPharma herein; (vii) no third party has or will have any rights in or to the Submitted Materials; and (viii) all of my respective rights, title and interests in and to all Submitted Materials are transferred and conveyed to TaroPharma, its successors and assigns, to the maximum extent permitted by applicable law, so that TaroPharma will be the sole owner of all copyrights and other rights therein. TaroPharma shall have full right and power to edit, translate, modify, separate, combine with other material, reuse and adapt any or all portions or elements of the Submitted Materials in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose, without compensation or obligation to me or any third party. Nothing in this agreement or elsewhere shall require TaroPharma to use the Submitted Materials in part or in whole or to include the Submitted Materials in any TaroPharma-related property, including, without limitation, the Kusch Manual. Nothing in this agreement or elsewhere shall prevent, restrict or otherwise impair TaroPharma from using the Submitted Materials or portions thereof at any time in the future. By submitting Submitted Materials to TaroPharma, I agree to be bound by all TaroPharma guidelines and grant to TaroPharma, its successors and assigns, the right to use in perpetuity my names, biographical information and other information and Submitted Materials, without notice to me and without compensation or obligation, in any and all media now or hereafter known throughout the world, by any and all manners and methods, and for any and all purposes, now known or hereafter devised. I release, discharge and hold harmless Stanferd L. Kusch, M.D., Taro Pharmaceuticals U.S.A., Inc., its subsidiaries and affiliates, directors, officers, employees, agents, shareholders and partners from any and all claims, demands or liabilities, including reasonable legal fees and expenses, arising out of or in connection with the use of the Submitted Materials or related to the Submitted Materials in any way.
